SEO Terms of Service
Your Account and Monthly Billing
You agree to us automatically deducting the agreed monthly fee from your registered credit card in advance on a monthly basis in accordance with our pricing schedule. All monthly payments are non-refundable, there will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
Cancellations and Refunds
In order to treat everyone equally, no exceptions will be made. You may cancel your monthly subscription after the 3 month requirement by simply emailing us at billing@zoodlemarketing.com with the subject "Cancel".
Setup Fee
You can choose to waive your setup fee for any of the packages, but your minimum requirement for the package will be a 6 month agreement.
Website Changes and Access
You authorize and agree to provide Zoodle with CMS, FTP or website access to make proper changes on your website. You also Authorize “Zoodle” use of all client logos, trademarks, Web site images, etc., for use in creating informational pages and any other uses as deemed necessary by “Zoodle” for search engine positioning and optimization.
Content
You agree to provide Zoodle with relevant text content in electronic format for the purpose of creating additional web pages.
You acknowledge the following with respect to services:
“Zoodle” has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. Your site may be excluded from any directory at any time at the sole discretion of the search engine or directory.( In the event the client site is dropped, “Zoodle” will resubmit those pages that have been dropped from the index.)
Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms and other competitive factors, “Zoodle” does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase or search term. However, “Zoodle” will do the best in its power to achieve these results and maintain them during the period of which you are a customer.
While you are a customer, “Zoodle” will maintain the keyword placement from the date the website is in the top positions in the Google search engine for the keyword(s)/phrase(s) agreed upon by both parties. “You” understands that after this period, work may need to be done on a monthly basis in order to keep the site in the top 10 positions. “You” are under no obligation to pay for this maintenance plan if ongoing positioning is no longer needed by “Client”. If a maintenance plan is not instated after the term of this agreement, “Zoodle” is under no obligation to maintain any positioning on the “your” URL.
Some search engines and directories may take as long as 3 to 6 months, and in some cases longer, after submission to index your site in top positions.
Occasionally, search engines will stop accepting submissions for an indefinite period of time.
Occasionally, search engines will drop listings for no apparent or predictable reason. Often listings will “reappear” without any additional submissions. Should the listing not reappear, “Zoodle” will re-submit the site based on the current policies of the search engine in question.
Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. “Zoodle” does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
“Zoodle” is not responsible for changes made to the Web site by other parties that adversely affect the search engine rankings of the Client’s Web site.
Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to “Zoodle” for inclusion on the website above are owned by “Client”, or that “Client” has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend “Zoodle” and its subcontractors from any liability or suit arising from the use of such elements.
“Zoodle” is not responsible for “Client’s” overwriting SEO work to “Client’s” site. IE / “Client” webmaster making changes and uploading over work already provided. Client will be charged an additional fee for re-constructing Metas, etc based on the hourly rate of $125.00 per hour.
Due to the unpredictable nature of search engines and SEO “Zoodle” is not responsible for the above Website(s), its positions in any search engine, the inclusion in any search engine or any loss of revenue due to the position or placement within the search engine.
Keywords require an order of importance. Please note you may use as many relevant keywords as agreed upon, however “Zoodle” will concentrate on listing the top priority keywords first, then move on to the secondary keywords. Large amounts of keyword link building will be worked on in group to appear natural.
Term
The initial term is stated on the specific package that you have selected. All agreements are auto-renewing at the then published service rates. After the initial agreement period, either party may cancel the program with a 30-day written notice to the other party.
No Gaurantees
You acknowledge and agree that Zoodle makes no specific guarantee or warranty regarding the search providers and publishers to which it submits advertising on your behalf, including placement of paid search advertising or any specific results. Zoodle does not warrant the number of calls, clicks, impressions or website visits for paid search campaigns or organic search results. Zoodle does not warrant that the performance will be error-free but will immediately act to correct errors once they have been identified.
Indemnification
Each party warrants that its respective performance of the terms of this agreement will not in any way constitute knowing, intentional infringement or violation of any copyright, trade secret, trade mark, patent, invention or any other nondisclosure rights of any third party. You indemnify and hold harmless Zoodle against all costs (including attorney fees), damages and liabilities arising from negligent or intended acts on your part constituting the violation of any copyright, trade secret, trade mark, service mark, patent, invention, proprietary information or nondisclosure rights of any third party. To the full extent of the law, you will pay any expenses or damages for Zoodle resulting from claims made by third parties with regard to usage of material you have provided, even after termination of our Agreement.
Force Majeure
Neither you nor Zoodle will be in breach of its obligations under these Terms and Conditions of Service (other than obligation to pay monies due) in the event that, for cause(s) beyond reasonable control, each party is unable to perform, in whole or in part, any one or more of its obligations. Such causes will include, but not be limited to governmental regulation, fire or other causality, inability to obtain materials or services, technical failure or difficulties, problems or interruptions of the internet, or any other cause not within the reasonable control of either party.
Authority
The person purchsing the Online Advertising & Marketing certifies that (s)he is lawfully authorized to purchase services on behalf of your company.
Effective Upon Execution
Terms and Conditions are binding on both parties on the date the Online Advertising & Marketing agreement is signed and/or payment is made.
